El proceso se inicia con un an\u00e1lisis de tipo estrat\u00e9gico, ya que la decisi\u00f3n de inversi\u00f3n no esta dentro de esas coordenadas estrat\u00e9gicas, actuales o futuras, debemos desecharlo autom\u00e1ticamente. <\/span><\/p>\n<p><span style=\"font-family: arial;\">  <\/span>    <\/p>\n<p class=\"MsoBodyTextIndent2\" style=\"text-indent: 0cm; font-family: arial;\"><span style=\"font-size: 11.0pt;mso-bidi-font-family:Arial\">Este <b style=\"mso-bidi-font-weight:normal\">an\u00e1lisis estrat\u00e9gico<\/b> estudia <b style=\"mso-bidi-font-weight:normal\">si las caracter\u00edsticas del producto encajan con<\/b> las establecidas como variables <b style=\"mso-bidi-font-weight:normal\">estrat\u00e9gicas de la empresa<\/b>, por ubicaci\u00f3n geogr\u00e1fica, por tipo de producto, por dimensi\u00f3n de la inversi\u00f3n, por su plazo de recuperaci\u00f3n, etc.<br \/><\/span><\/p>\n<p class=\"MsoBodyTextIndent2\" style=\"text-indent: 0cm; font-family: arial;\"><span style=\"font-size: 11.0pt;mso-bidi-font-family:Arial\">Si existe coincidencia de estos par\u00e1metros, el proceso de decisi\u00f3n continua, con<span style=\"mso-spacerun:yes\">  <\/span>la intervenci\u00f3n de tres protagonistas b\u00e1sicos: el <b style=\"mso-bidi-font-weight: normal\">an\u00e1lisis econ\u00f3mico, el t\u00e9cnico y el de mercado. <\/b><\/span><\/p>\n<p><span style=\"font-family: arial;\">  <\/span>  <\/p>\n<p class=\"MsoBodyTextIndent2\" style=\"text-indent: 0cm; font-family: arial;\"><span style=\"font-size: 11.0pt;mso-bidi-font-family:Arial\">Todos ellos se nutren de informaci\u00f3n y deben tener una evoluci\u00f3n paralela, siendo imprescindible, para el buen \u00e9xito de la operaci\u00f3n, que los tres ratifiquen la viabilidad del nuevo proyecto. En la tabla siguiente, se resume un proceso de an\u00e1lisis t\u00edpico (aunque la escasez del mercado del suelo no permite, la mayor parte de las veces, elaborar con tranquilidad todas las etapas y hay que tomar decisiones de forma r\u00e1pida).<\/span><\/p>\n<p><span style=\"font-family: arial;\">  <\/span>    <\/p>\n<p style=\"text-align:justify\"><span style=\"font-size: 11pt; font-family: arial;\">Decisiones que, en consecuencia, se suelen tomar supliendo los par\u00e1metros que nos falte estudiar, con una sab\u00eda combinaci\u00f3n de profesionalidad, intuici\u00f3n y experiencia.<\/span><span style=\"font-size:11.0pt; font-family:Arial\"><span style=\"font-family: arial;\"> <\/span><br \/><\/span><\/p>\n<p style=\"text-align:justify\"><b style=\"mso-bidi-font-weight: normal\"><u><span style=\"font-size:11.0pt;font-family:Arial\">1.- ANALISIS ESTRATEGICO<\/span><\/u><\/b><\/p>\n<p style=\"text-align:justify\"><span style=\"font-size:11.0pt; font-family:Arial\">Sirve para comprobar <b style=\"mso-bidi-font-weight:normal\">si la promoci\u00f3n<\/b> inmobiliaria de la cual se esta analizando su viabilidad <b style=\"mso-bidi-font-weight:normal\">tiene caracter\u00edsticas coincidentes con la estrategia de la empresa<\/b>, ya que en caso contrario, la decisi\u00f3n de adquirir el terreno ser\u00e1 rechazada. Normalmente estas estrategias empresariales, en el sector inmobiliario, se circunscriben a algunos de los <b style=\"mso-bidi-font-weight: normal\">siguientes par\u00e1metros<\/b>, que listamos a continuaci\u00f3n:<\/span><\/p>\n<p style=\"text-align:justify\"><span style=\"font-size:11.0pt\"><span style=\"mso-list:Ignore\">&#8211;<span style=\"font:7.0pt &quot;Times New Roman&quot;\">               <\/span><\/span><\/span><b style=\"mso-bidi-font-weight:normal\"><span style=\"font-size:11.0pt;font-family:Arial\">Tipolog\u00eda<\/span><\/b><span style=\"font-size:11.0pt; font-family:Arial\"> de la Promoci\u00f3n (por ejemplo en la estrategia de la empresa no cabe acometer promociones de tipolog\u00eda industrial).<br \/><\/span><\/p>\n<p style=\"margin-left:26.25pt;text-align:justify;text-indent: -26.25pt;mso-list:l1 level1 lfo1;tab-stops:list 26.25pt\"><span style=\"font-size:11.0pt\"><span style=\"mso-list:Ignore\">&#8211;<span style=\"font:7.0pt &quot;Times New Roman&quot;\">               <\/span><\/span><\/span><b style=\"mso-bidi-font-weight:normal\"><span style=\"font-size:11.0pt;font-family:Arial\">Est\u00e1ndares Tipol\u00f3gicos<\/span><\/b><span style=\"font-size:11.0pt;font-family:Arial\"> (por ejemplo no entra en la estrategia de la empresa acometer promociones de chalets aislados de alto standing de calidad, cuya comercializaci\u00f3n es muy selectiva y cuya producci\u00f3n es compleja, ya que hay que admitir cambios de calidad en cada venta)<\/span><\/p>\n<p style=\"text-align:justify\"><span style=\"font-size:11.0pt\"><span style=\"mso-list:Ignore\">&#8211;<span style=\"font:7.0pt &quot;Times New Roman&quot;\">               <\/span><\/span><\/span><b style=\"mso-bidi-font-weight:normal\"><span style=\"font-size:11.0pt;font-family:Arial\">Tipolog\u00eda de la Materia Prima<\/span><\/b><span style=\"font-size:11.0pt; font-family:Arial\"> (no se adquieren suelos para transformar, de largo periodo de maduraci\u00f3n, solo suelos finalistas)<br \/><\/span><\/p>\n<p style=\"margin-left:26.25pt;text-align:justify;text-indent: -26.25pt;mso-list:l1 level1 lfo1;tab-stops:list 26.25pt\"><span style=\"font-size:11.0pt\"><span style=\"mso-list:Ignore\">&#8211;<span style=\"font:7.0pt &quot;Times New Roman&quot;\">               <\/span><\/span><\/span><b style=\"mso-bidi-font-weight:normal\"><span style=\"font-size:11.0pt;font-family:Arial\">Volumen de Negocio<\/span><\/b><span style=\"font-size:11.0pt;font-family:Arial\"> (por ejemplo la empresa tiene fijada en su estrategia no acometer promociones de menos de 30 viviendas)<\/span><\/p>\n<p style=\"text-align:justify\"><span style=\"font-size:11.0pt\"><span style=\"mso-list:Ignore\">&#8211;<span style=\"font:7.0pt &quot;Times New Roman&quot;\">               <\/span><\/span><\/span><b style=\"mso-bidi-font-weight:normal\"><span style=\"font-size:11.0pt;font-family:Arial\">Ubicaci\u00f3n Geogr\u00e1fica<\/span><\/b><span style=\"font-size:11.0pt; font-family:Arial\"> (la empresa tiene por ejemplo vocaci\u00f3n provincial o incluso menor, en una determinada capital)<br \/><\/span><\/p>\n<p style=\"margin-left:26.25pt;text-align:justify;text-indent: -26.25pt;mso-list:l1 level1 lfo1;tab-stops:list 26.25pt\"><span style=\"font-size:11.0pt\"><span style=\"mso-list:Ignore\">&#8211;<span style=\"font:7.0pt &quot;Times New Roman&quot;\">               <\/span><\/span><\/span><b style=\"mso-bidi-font-weight:normal\"><span style=\"font-size:11.0pt;font-family:Arial\">Limitaciones Societarias<\/span><\/b><span style=\"font-size:11.0pt;font-family:Arial\"> (la empresa no es permeable a nuevos socios impuestos para realizar una determinada operaci\u00f3n)<\/span><\/p>\n<p class=\"MsoBodyTextIndent2\"><span style=\"font-size:11.0pt; font-family:Arial\">Es evidente que la viabilidad de una promoci\u00f3n inmobiliaria, que no entre dentro de este listado de prioridades, en principio (en los negocios siempre se dejan puertas abiertas a la excepci\u00f3n) no ser\u00e1 asumible y ser\u00e1 rechazada.<\/span><span style=\"font-size:11.0pt;mso-bidi-font-family: Arial\"><br \/><\/span><\/p>\n<p style=\"text-align:justify\"><b style=\"mso-bidi-font-weight: normal\"><u><span style=\"font-size:11.0pt;font-family:Arial\">2.- ANALISIS TECNICO<\/span><\/u><\/b><\/p>\n<p style=\"text-align:justify\"><span style=\"font-size:11.0pt; font-family:Arial\">Sirve para comprobar aspectos fundamentales que configuran el coste y la viabilidad del producto. Su an\u00e1lisis se nutre de <b style=\"mso-bidi-font-weight:normal\">dos tipos de informaci\u00f3n<\/b>:<\/span><\/p>\n<p style=\"margin-left:36.0pt;text-align:justify;text-indent: -18.0pt;mso-list:l0 level1 lfo2;tab-stops:list 36.0pt\"><b style=\"mso-bidi-font-weight:normal\"><span style=\"font-size:11.0pt;font-family: Arial;mso-fareast-font-family:Arial\"><span style=\"mso-list:Ignore\">a)<span style=\"font:7.0pt &quot;Times New Roman&quot;\">      <\/span><\/span><\/span><\/b><b style=\"mso-bidi-font-weight:normal\"><span style=\"font-size:11.0pt;font-family: Arial\">Directa<\/span><\/b><span style=\"font-size:11.0pt;font-family:Arial\">, que alcanza el an\u00e1lisis de las <b style=\"mso-bidi-font-weight:normal\">tres exigencias b\u00e1sicas del suelo<\/b> que nos ofrecen y sus posibilidades: <b style=\"mso-bidi-font-weight:normal\">titularidad, condiciones urban\u00edsticas correctas y fiscalidad de la operaci\u00f3n.<\/b><\/span><\/p>\n<p style=\"margin-left:36.0pt;text-align:justify;text-indent: -18.0pt;mso-list:l0 level1 lfo2;tab-stops:list 36.0pt\"><span style=\"font-size:11.0pt;font-family:Arial;mso-fareast-font-family:Arial\"><span style=\"mso-list:Ignore\">b)<span style=\"font:7.0pt &quot;Times New Roman&quot;\">      <\/span><\/span><\/span><b style=\"mso-bidi-font-weight:normal\"><span style=\"font-size:11.0pt;font-family:Arial\">Indirecta<\/span><\/b><span style=\"font-size:11.0pt;font-family:Arial\">, ya que con la informaci\u00f3n del mercado que recibe, y que sirve para configurar el <b style=\"mso-bidi-font-weight: normal\">tipo de productos a dise\u00f1ar<\/b>, la completa realizando un estudio de su <b style=\"mso-bidi-font-weight:normal\">coste<\/b> y <b style=\"mso-bidi-font-weight: normal\">plazos de ejecuci\u00f3n<\/b>.<\/span><\/p>\n<p style=\"text-align:justify\"><span style=\"font-size:11.0pt;mso-bidi-font-family: Arial\"> <\/span><b style=\"mso-bidi-font-weight: normal\"><u><span style=\"font-size:11.0pt;font-family:Arial\">3.- ANALISIS URBANISTICO<\/span><\/u><\/b><\/p>\n<p style=\"text-align:justify\"><span style=\"font-size:11.0pt; font-family:Arial\">Hay que realizar <b style=\"mso-bidi-font-weight:normal\">tres tipos de estudios<\/b>:<\/span><\/p>\n<p style=\"margin-left:18.0pt;text-align:justify\"><span style=\"font-size:11.0pt;font-family:Arial;mso-fareast-font-family:Arial\"><span style=\"mso-list:Ignore\">a)<span style=\"font:7.0pt &quot;Times New Roman&quot;\">      <\/span><\/span><\/span><span style=\"font-size:11.0pt;font-family:Arial\">Comprobar <b style=\"mso-bidi-font-weight:normal\">que los datos urban\u00edsticos que se nos facilitan son correctos<\/b>. Analizando los par\u00e1metros urban\u00edsticos contenidos en la Cedula  Urban\u00edstica, emitida por el Ayuntamiento, si existe, que ser\u00e1 el m\u00e9todo mas seguro; o bien analizando los datos del Plan General de Ordenaci\u00f3n vigente, o cualquier otro instrumento de desarrollo del mismo que exista (plan Parcial, Estudio de Detalle, Plan de Reforma Interior, etc.), todo ello acompa\u00f1ado de las oportunas consultas efectuadas a los t\u00e9cnicos municipales o a los responsables pol\u00edticos del Ayuntamiento.<br \/><\/span><\/p>\n<p style=\"margin-left:36.0pt;text-align:justify;text-indent: -18.0pt;mso-list:l2 level1 lfo3;tab-stops:list 36.0pt\"><b style=\"mso-bidi-font-weight:normal\"><span style=\"font-size:11.0pt;font-family: Arial;mso-fareast-font-family:Arial\"><span style=\"mso-list:Ignore\">b)<span style=\"font:7.0pt &quot;Times New Roman&quot;\">     <\/span><\/span><\/span><\/b><b style=\"mso-bidi-font-weight:normal\"><span style=\"font-size:11.0pt;font-family: Arial\">Analizar<\/span><\/b><span style=\"font-size:11.0pt;font-family:Arial\"> por medio de un estudio de <b style=\"mso-bidi-font-weight:normal\">\u201cencaje\u201d preliminar, si caben todos ellos dentro del terreno f\u00edsico ofrecido.<\/b><\/span><\/p>\n<p class=\"MsoBodyTextIndent2\"><span style=\"font-size:11.0pt;font-family:Arial;mso-fareast-font-family:Arial\"><span style=\"mso-list:Ignore\">c)<span style=\"font:7.0pt &quot;Times New Roman&quot;\">      <\/span><\/span><\/span><span style=\"font-size:11.0pt;font-family:Arial\">Analizar las <b style=\"mso-bidi-font-weight:normal\">incidencias de tipo t\u00e9cnico<\/b>, generalmente visuales, que podamos determinar: orientaci\u00f3n, topograf\u00eda, altura sobre el nivel del mar, contenido de agua l\u00edneas el\u00e9ctricas que lo recorran, aproximaci\u00f3n a accidentes geogr\u00e1ficos <b style=\"mso-bidi-font-weight:normal\">que de alguna forma limiten su uso<\/b> (r\u00edos, humedales, terrenos inundables, terrenos contaminados, posibilidades geot\u00e9cnicas desfavorables (arcillas expansivas, yesos, rocas, etc.<\/span><span style=\"font-size:11.0pt;mso-bidi-font-family: Arial\"><br \/><\/span><\/p>\n<p style=\"text-align:justify\"><b style=\"mso-bidi-font-weight: normal\"><u><span style=\"font-size:11.0pt;font-family:Arial\">4.- ANALISIS JURIDICO<\/span><\/u><\/b><\/p>\n<p style=\"text-align:justify\"><span style=\"font-size:11.0pt; font-family:Arial\">Hay que <b style=\"mso-bidi-font-weight:normal\">comprobar<\/b> si la persona con la que estamos negociando es en realidad <b style=\"mso-bidi-font-weight: normal\">propietario del suelo<\/b> que se nos ofrece, o bien si tiene poderes validos de dicho propietario o propietarios. Los elementos de consulta fundamentales son dos:<\/span><\/p>\n<p style=\"text-align:justify\"><span style=\"font-size:11.0pt\"><span style=\"mso-list:Ignore\">&#8211;<span style=\"font:7.0pt &quot;Times New Roman&quot;\">               <\/span><\/span><\/span><span style=\"font-size:11.0pt; font-family:Arial\">El <b style=\"mso-bidi-font-weight:normal\">Registro de la Propiedad<\/b>, del que obtendremos, adem\u00e1s de la titularidad, los siguientes datos: naturaleza de la finca (rustica o urbana), linderos, superficie, cargas (fiscales, civiles y urban\u00edsticas)<span style=\"mso-spacerun:yes\"><br \/><\/span><\/span><\/p>\n<p style=\"margin-left:26.25pt;text-align:justify;text-indent: -26.25pt;mso-list:l1 level1 lfo1;tab-stops:list 26.25pt\"><span style=\"font-size:11.0pt\"><span style=\"mso-list:Ignore\">&#8211;<span style=\"font:7.0pt &quot;Times New Roman&quot;\">               <\/span><\/span><\/span><span style=\"font-size:11.0pt;font-family:Arial\">El <b style=\"mso-bidi-font-weight:normal\">Catastro Inmobiliario<\/b>, del que obtendremos datos f\u00edsicos: planos, linderos, superficie y valoraci\u00f3n catastral (si existe).<\/span><\/p>\n<p style=\"text-align:justify\"><span style=\"font-size:11.0pt; font-family:Arial\">Este tipo de datos y su problem\u00e1tica pueden incidir de manera directa en la viabilidad de la promoci\u00f3n: superficie registral menor que la real<br \/><\/span><\/p>\n<p style=\"text-align:justify\"><b style=\"mso-bidi-font-weight: normal\"><u><span style=\"font-size:11.0pt;font-family:Arial\">5.- ANALISIS FISCAL<\/span><\/u><\/b><\/p>\n<p style=\"text-align:justify\"><span style=\"font-size:11.0pt; font-family:Arial\">Incidencia fiscal de la operaci\u00f3n, fundamentalmente, en operaciones sencillas:<\/span><\/p>\n<p style=\"text-align:justify\"><span style=\"font-size:11.0pt\"><span style=\"mso-list:Ignore\">&#8211;<span style=\"font:7.0pt &quot;Times New Roman&quot;\">               <\/span><\/span><\/span><b style=\"mso-bidi-font-weight:normal\"><span style=\"font-size:11.0pt;font-family:Arial\">Repercusi\u00f3n del IVA<\/span><\/b><span style=\"font-size:11.0pt; font-family:Arial\"> al tipo del 18%, que no supone coste, pero s\u00ed una cantidad adicional importante <b style=\"mso-bidi-font-weight:normal\">a financiar<\/b>.<br \/><\/span><\/p>\n<p style=\"margin-left:26.25pt;text-align:justify;text-indent: -26.25pt;mso-list:l1 level1 lfo1;tab-stops:list 26.25pt\"><span style=\"font-size:11.0pt\"><span style=\"mso-list:Ignore\">&#8211;<span style=\"font:7.0pt &quot;Times New Roman&quot;\">               <\/span><\/span><\/span><span style=\"font-size:11.0pt;font-family:Arial\">Problem\u00e1tica de que <b style=\"mso-bidi-font-weight:normal\">la operaci\u00f3n quede sujeta a TPO<\/b>, lo que significa un <b style=\"mso-bidi-font-weight:normal\">aumento de coste<\/b> de entre el 5% y el 6% (hay que deducir el coste de AJD)<\/span><\/p>\n<p style=\"text-align:justify\"><span style=\"font-size:11.0pt\"><span style=\"mso-list:Ignore\">&#8211;<span style=\"font:7.0pt &quot;Times New Roman&quot;\">               <\/span><\/span><\/span><b style=\"mso-bidi-font-weight:normal\"><span style=\"font-size:11.0pt;font-family:Arial\">Operaciones de aportaci\u00f3n<\/span><\/b><span style=\"font-size:11.0pt;
