Casos especiales"},"content":{"rendered":"<h3><b>La permuta de solar<\/b><\/h3>\n<p><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt;\">La <b>permuta de solar a cambio de un porcentaje de las viviendas<\/b> o unidades obtenidas en la promoci\u00f3n, al estudiar una promoci\u00f3n inmobiliaria, es una de las posibilidades, en estos tiempos de dificultad<span style=\"mso-spacerun: yes;\">\u00a0 <\/span>a la hora de obtener financiaci\u00f3n<br \/>\n<\/span><\/p>\n<div style=\"text-align: justify;\"><\/div>\n<div style=\"text-align: justify;\"><b style=\"mso-bidi-font-weight: normal;\"><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt;\">Existe una dificultad, por parte del<span style=\"mso-spacerun: yes;\">\u00a0 <\/span>propietario del solar, en ceder en el momento presente el control de su propiedad a cambio de una promesa de edificabilidad en el futuro. <\/span><\/b><span style=\"mso-bidi-font-weight: normal;\"><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt;\">Esta dificultad se puede solventar de varias maneras<\/span><\/span><\/div>\n<div style=\"text-align: justify;\"><b style=\"mso-bidi-font-weight: normal;\"><span style=\"font-family: 'Arial','sans-serif'; mso-list: l0 level1 lfo3; text-align: justify; text-indent: -18.0pt;\"><b style=\"mso-bidi-font-weight: normal;\"><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt; mso-fareast-font-family: Arial;\"><span style=\"mso-list: Ignore;\">1.<span style=\"font: 7.0pt 'Times New Roman';\">\u00a0\u00a0\u00a0 <\/span><\/span><\/span><\/b><b style=\"mso-bidi-font-weight: normal;\"><u><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt;\">Cuota Indivisa de solar.<\/span><\/u><\/b><\/h4>\n<div style=\"text-align: justify;\"><b style=\"mso-bidi-font-weight: normal;\"><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt;\"><span style=\"mso-spacerun: yes;\">\u00a0<\/span><span style=\"mso-spacerun: yes;\">\u00a0 <\/span>Es un caso particular del contrato de aportaci\u00f3n de solar<\/span><\/b><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt;\"> a cambio de obra futura, con la diferencia de que en<span style=\"mso-spacerun: yes;\">\u00a0 <\/span>este caso <b style=\"mso-bidi-font-weight: normal;\">el cesionario, no transmite la totalidad del solar sino solo la cuota indivisa de su participaci\u00f3n<\/b>.<\/span><\/div>\n<div style=\"text-align: justify;\"><\/div>\n<div style=\"text-align: justify;\"><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt;\">Por ejemplo, si se conviene una aportaci\u00f3n de solar a cambio de un 25 % de la obra futura a construir sobre el mismo por el cesionario, es evidente que se produce una transmisi\u00f3n de la totalidad del solar por parte del cedente, y una vez construida la obra, el cesionario, vuelve a transmitir un 25% del solar cedido, en la parte de se corresponde con la propiedad de lo edificado que debe entregarse al cedente.<\/span><\/div>\n<div style=\"text-align: justify;\"><\/div>\n<div style=\"text-align: justify;\"><b style=\"mso-bidi-font-weight: normal;\"><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt;\">Para evitar esta doble transmisi\u00f3n<\/span><\/b><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt;\"> el contrato puede contemplar que el cedente cede solo un 75 % del solar permaneciendo como titular del otra 25 % hasta la finalizaci\u00f3n de las obras.<\/span><\/div>\n<div style=\"text-align: justify;\"><\/div>\n<div style=\"text-align: justify;\"><b style=\"mso-bidi-font-weight: normal;\"><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt;\">Se crea en este caso una comunidad de bienes entre cedente y cesionario<\/span><\/b><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt;\">, de importantes <b style=\"mso-bidi-font-weight: normal;\">consecuencias jur\u00eddicas para el cedente<\/b>, ya que:<\/span><\/div>\n<div style=\"text-align: justify;\"><\/div>\n<div style=\"margin-left: 36.0pt; mso-list: l1 level1 lfo1; tab-stops: list 36.0pt; text-align: justify; text-indent: -18.0pt;\"><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt; mso-fareast-font-family: Arial;\"><span style=\"mso-list: Ignore;\">a)<span style=\"font: 7.0pt 'Times New Roman';\">\u00a0\u00a0 <\/span><\/span><\/span><b style=\"mso-bidi-font-weight: normal;\"><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt;\">Debe responder de todas las obligaciones derivadas del proceso<\/span><\/b><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt;\"> constructivo realizado por el cesionario, ya que la obra se realiza sobre un solar que es de ambos titulares, sin posibilidad de se\u00f1alar que parte corresponde a cada uno de ellos.<\/span><\/div>\n<div style=\"margin-left: 36.0pt; mso-list: l1 level1 lfo1; tab-stops: list 36.0pt; text-align: justify; text-indent: -18.0pt;\"><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt; mso-fareast-font-family: Arial;\"><span style=\"mso-list: Ignore;\">b)\u00a0 <\/span><\/span><b style=\"mso-bidi-font-weight: normal;\"><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt;\">La responsabilidad asumida se extiende a todos sus bienes<\/span><\/b><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt;\"> presentes y futuros<\/span><\/div>\n<div style=\"text-align: justify;\"><\/div>\n<div style=\"text-align: justify;\"><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt;\">Evidentemente <b style=\"mso-bidi-font-weight: normal;\">la tributaci\u00f3n fiscal disminuye<\/b>, pero a <b>costa de asumir una gran responsabilidad societaria<\/b>, aunque la doctrina pueda considerar, a veces, que la comunidad de bies formada tiene car\u00e1cter especial, y que las responsabilidad del cedente del solar deber quedar limitada ya que no era esta su intenci\u00f3n, dicha doctrina no es firme y no nos podemos apoyar en ella para asumir este riesgo<\/span><b style=\"mso-bidi-font-weight: normal;\">.<\/b><\/div>\n<div><\/div>\n<h4 style=\"margin-left: 39.35pt; mso-list: l0 level1 lfo3; text-align: justify; text-indent: -18.0pt;\"><b style=\"mso-bidi-font-weight: normal;\"><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt; mso-fareast-font-family: Arial;\"><span style=\"mso-list: Ignore;\">2.<span style=\"font: 7.0pt 'Times New Roman';\">\u00a0\u00a0\u00a0 <\/span><\/span><\/span><\/b><b style=\"mso-bidi-font-weight: normal;\"><u><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt;\">Reserva de Derecho de Vuelo <\/span><\/u><\/b><\/h4>\n<div style=\"text-align: justify;\"><b style=\"mso-bidi-font-weight: normal;\"><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt;\">Se define como un derecho real<\/span><\/b><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt;\"> <b style=\"mso-bidi-font-weight: normal;\">en el art\u00edculo 16.2 del Reglamento Hipotecario<\/b> (texto modificado por el Real Decreto 1867\/1998, de 4 de septiembre, que en parte ha sido declarado inconstitucional) como el <b style=\"mso-bidi-font-weight: normal;\">derecho de elevar una o varias plantas sobre un edificio<\/b> o el de realizar construcciones bajo su suelo, haciendo suyas las edificaciones resultantes, que sin constituir derecho de superficie, <b style=\"mso-bidi-font-weight: normal;\">se reserva el propietario en caso de enajenaci\u00f3n<\/b> de todo o parte <b style=\"mso-bidi-font-weight: normal;\">de la finca<\/b> transmitida a un tercero, ser\u00e1 inscribible conforme a las normas del articulo 8 y sus concordantes.<\/span><\/div>\n<div style=\"text-align: justify;\"><\/div>\n<div style=\"text-align: justify;\"><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt;\">En la inscripci\u00f3n se har\u00e1 constar:<\/span><\/div>\n<div style=\"margin-left: 36.0pt; mso-list: l2 level1 lfo2; tab-stops: list 36.0pt; text-align: justify; text-indent: -18.0pt;\"><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt; mso-fareast-font-family: Arial;\"><span style=\"mso-list: Ignore;\">a) <\/span><\/span><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt;\">Las cuotas que hayan de corresponder a las nuevas plantas en los elementos y gastos comunes o las normas para su establecimiento.<\/span><\/div>\n<div style=\"margin-left: 36.0pt; mso-list: l2 level1 lfo2; tab-stops: list 36.0pt; text-align: justify; text-indent: -18.0pt;\"><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt; mso-fareast-font-family: Arial;\"><span style=\"mso-list: Ignore;\">b) <\/span><\/span><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt;\">Determinaci\u00f3n concreta del numero m\u00e1ximo de plantas a construir (precepto <b style=\"mso-bidi-font-weight: normal;\">declarado inconstitucional<\/b> por sentencia del Tribunal Supremo de 24 de febrero de 2000)<\/span><\/div>\n<div style=\"margin-left: 36.0pt; mso-list: l2 level1 lfo2; tab-stops: list 36.0pt; text-align: justify; text-indent: -18.0pt;\"><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt; mso-fareast-font-family: Arial;\"><span style=\"mso-list: Ignore;\">c)\u00a0 <\/span><\/span><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt;\">El plazo m\u00e1ximo para el ejercicio del derecho de vuelo no podr\u00e1 exceder de 10 a\u00f1os (<b style=\"mso-bidi-font-weight: normal;\">declarado inconstitucional<\/b> por idem<br \/>\nanterior)<\/span><\/div>\n<div style=\"margin-left: 36.0pt; mso-list: l2 level1 lfo2; tab-stops: list 36.0pt; text-align: justify; text-indent: -18.0pt;\"><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt; mso-fareast-font-family: Arial;\"><span style=\"mso-list: Ignore;\">d)\u00a0 <\/span><\/span><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt;\">Las normas de r\u00e9gimen de comunidad, si se se\u00f1alaren, para el caso de hacer la construcci\u00f3n.<\/span><\/div>\n<div style=\"text-align: justify;\"><\/div>\n<div style=\"text-align: justify;\"><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt;\">Utilizando este concepto jur\u00eddico, <b style=\"mso-bidi-font-weight: normal;\">el duelo del solar, cede el derecho de vuelo sobre una edificaci\u00f3n al promotor, y a cambio este se obliga a construir para el due\u00f1o de dicho solar determinas plantas del edificio<\/b>.<\/span><\/div>\n<div style=\"text-align: justify;\"><\/div>\n<div style=\"text-align: justify;\"><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt;\">Con esta operaci\u00f3n <b style=\"mso-bidi-font-weight: normal;\">las plantas del edificio<\/b> (plantas s\u00f3tano, baja y siguientes, en su caso), <b style=\"mso-bidi-font-weight: normal;\">que el promotor construye y termina inicialmente son las que pertenecen al duelo del solar, y el resto<\/b> de plantas, las ubicadas por encima, <b style=\"mso-bidi-font-weight: normal;\">las que pertenecen al promotor.<\/b><\/span><\/div>\n<div style=\"text-align: justify;\"><\/div>\n<h4 style=\"margin-left: 39.35pt; mso-list: l0 level1 lfo3; text-align: justify; text-indent: -18.0pt;\"><b style=\"mso-bidi-font-weight: normal;\"><span style=\"font-family: 'Arial','sans-serif'; font-size: 11.0pt; mso-fareast-font-family: Arial;\"><span style=\"mso-list: Ignore;\">3.<span style=\"font: 7.0pt 'Times New Roman';\">\u00a0\u00a0\u00a0 <\/span><\/span><\/span><\/b><b style=\"mso-bidi-font-weight: normal;\"><u><span style=\"font-family: 'Arial','sans-serif';
